Terms of Service

By downloading, installing, or using LucidCut ("the Software"), you agree to these Terms. If you do not agree, do not use the Software.

1. Who We Are

LucidCut is an individual software product. Contact: mvkbhat.official@gmail.com.

2. License

We grant you a personal, non-exclusive, non-transferable license to install and use LucidCut on your Windows device for your own video editing work, subject to an active subscription or trial.

• You may not redistribute, resell, sublicense, or reverse-engineer the Software.
• You may not use the Software to provide commercial editing services to third parties without a separate written agreement.

3. Subscriptions & Trial

• A 7-day free trial is offered on first sign-in. No payment is required to start.
• After the trial, continued access requires an active subscription at the applicable rate (₹599/month regular; ₹499/month locked-in for waitlist members).
• Subscriptions are billed monthly via Razorpay. Payment failure suspends access until the outstanding charge is settled.
• Prices are in Indian Rupees (INR) and include applicable taxes where required.

4. AI Features (BYOK)

AI-assisted editing features require you to supply your own API keys (OpenAI, Anthropic, or Azure). We do not include AI credits in the subscription. You are responsible for usage costs charged by those providers and for complying with their terms of service.

5. Your Content

Your media files are processed locally on your device. We do not upload your video or audio content to our servers. Optional cloud project backup stores only the project metadata JSON in Convex — not your media files. You retain all ownership of your content.

6. Account

Accounts are managed via Clerk. You are responsible for keeping your credentials secure. One subscription covers one user account; sharing credentials with others is not permitted.

7. Acceptable Use

You must not use LucidCut to produce content that:

• Infringes any third-party copyright, trademark, or other intellectual property right.
• Is defamatory, obscene, or violates any applicable law.
• Constitutes non-consensual synthetic media ("deepfakes") of real individuals.

8. Availability & Updates

We provide the Software "as is." We may push silent updates to fix bugs or add features. We will try to maintain uptime for cloud sync and billing services but make no SLA guarantees.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from use of the Software, including loss of data, lost profits, or business interruption. Our total liability to you in any month shall not exceed the subscription fee you paid that month.

10. Termination

You may cancel your subscription at any time (see Refund & Cancellation Policy). We may terminate or suspend your access if you breach these Terms. On termination, the license granted under Section 2 ends immediately.

11. Governing Law

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

12. Changes to These Terms

We may update these Terms. Continued use after the updated "Last updated" date constitutes acceptance. Material changes will be notified in-app.
